This USER Agreement (the "Agreement") and the policies referred to herein contain the complete terms and conditions that apply to your use of the services (the "Services") being offered at the URL: http://www.clinicbook.ca and all affiliated web sites owned and operated solely by Clinical Media Ltd. As used in this Agreement, "Clinicbook" refers to Clinical Media Ltd. and any of its subsidiaries, and "USER" or "you" refers to you. USE OF THE SERVICES AND THE CLINICBOOK SITE CONSTITUTES KNOWING ACCEPTANCE AND ACKNOWLEDGEMENT OF THIS USER AGREEMENT, CLINICBOOK'S PRIVACY POLICY, AND CLINICBOOK'S TERMS AND CONDITIONS.

Clinicbook may modify this Agreement's terms and conditions at any time without notice. Continued use of the Services and the Clinicbook Site after a change in this Agreement, a change in the Privacy Policy, or after implementation of any other new policy constitutes acceptance of such change or policy. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT OR ANY REVISED VERSION OF THIS AGREEMENT, PLEASE DO NOT USE THIS SITE.

Clinic Listing

1. You may use Clinicbook to add, amend and/or update a Business Listing, solely on the terms and conditions of this Agreement.
2. All Content must:
   1. be complete and accurate;
   2. be supplied in the manner and format specified on Clinicbook;
   3. not be of a nature likely to bring Clinicbook into disrepute; and
   4. comply with all laws, regulations, standards and relevant industry codes.
3. You must not:
   1. use Clinicbook to add or amend a Clinic Listing where you do not have the express authorisation of that business to do so;
   2. upload, post, transmit, publish or otherwise make available any Accessible Content that You do not have a right to make available under any law, regulation, rule or code or under contractual or other legal relationships;
   3. upload, post, transmit, publish or otherwise make available any false, misleading, inappropriate, profane, defamatory, abusive, threatening, obscene, indecent or unlawful Accessible Content;
   4. infringe the intellectual property rights of others; or
   5. breach a law including, without limitation, any law that restricts advertising of a profession.
4. If any of the information in the Clinic Listing for Your business changes, becomes out of date, or no longer complies with this Agreement, You must:
   1. immediately amend Your Clinic Listing so that it complies with this Agreement; and/or
   2. immediately notify us.
5. You acknowledge and agree that by posting Content onto Clinicbook You consent to being contacted (on an ongoing basis) via any of the contact details contained in that Content, including (without limitation) where such contact involves receiving information about products or services which we think may interest You from Clinicbook or any Clinicbook authorised third party.

General

1. We may provide You with notices by email, mail or by posting content on Clinicbook.
2. You should carefully read and agree to this Agreement each time You use Clinicbook. By using Clinicbook (including, without limitation, by posting any Content) You agree that the then current version of this Agreement will apply to that use.
3. Clinicbook may assign this Agreement provided that the relevant assignee undertakes to perform all of Clinicbook's obligations herein. Subject to the foregoing, neither party may assign this Agreement in whole or in part.
4. The indemnities in this Agreement are:
   1. continuing obligations of the parties, separate and independent from their other obligations and survive termination of this Agreement; and
   2. absolute and unconditional and unaffected by anything that might have the effect or prejudicing, releasing, discharging or affecting in any other way the liability of the party giving the indemnity.
5. This Agreement is made under and shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to any choice of law provisions. The parties hereby consent to the jurisdiction of the provincial court located in Vancouver, Canada.

Limitation of Liability

1. Clinicbook's Internet sites and the items they contain are offered to you on an "as is" basis and at no charge by Clinicbook, without warranties of any kind, either express or implied, including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose, use, availability, validity, accuracy, reliability of the items reproduced on said sites or as to the results ensuing from the use of such items. Without limiting the generality of the foregoing, Clinicbook makes no representations about the comprehensive nature of the results of your searches conducted on its Internet sites. You hereby acknowledge and agree that your use of Clinicbook's Internet sites is at your own risk.
2. Clinicbook makes no representation related to the accuracy or reliability of, nor does it endorse, any opinion, declaration or other information published or distributed on its Internet sites by any user, content provider or other person.
3. Clinicbook disclaims all liability related to any error which may be found on its Internet sites. Thus, Clinicbook and any third party providing content on Clinicbook's Internet sites, their related companies, officers, employees, representatives or agents cannot in any way be held liable for any damage related directly or indirectly to the use of Clinicbook's Internet sites, in particular, the loss of data or profits ensuing from the use of items on said sites, errors or omissions contained in the items or the inability to use such items.
